Creator Marketplace Terms (v1)

Effective June 30, 2026. These Terms are accepted at first listing and bind the maker individually.

These Marketplace Terms are a binding agreement between you ("Creator," "you") and Strength & Solidarity LLC ("BellusTowne," "we," "us"), incorporating by reference Article XV, our DMCA Policy, and the existing Towne Charter.

1. Eligibility

  • You are at least 18 years old.
  • You are a Citizen of BellusTowne in good standing, with no active sanction.
  • You have completed Stripe Connect onboarding (KYC / W-9 or W-8BEN) before any listing flips active.
  • Your jurisdiction permits you to sell digital works and receive payment.

2. Splits

For every sale, the price is divided:

  • 80% to you (the Creator), paid via Stripe Connect Express, less Stripe fees.
  • 15% Towne Toll, retained by BellusTowne.
  • 5% to the Charity Pot.

3. Your Warranty

For every work you list, you represent and warrant that:

  1. You own all rights necessary to sell the work, or you hold a license sufficient to do so and to grant buyers the license you offer.
  2. The work does not infringe any copyright, trademark, right of publicity, right of privacy, or other right of any third party.
  3. The work depicts no real, identifiable person without that person's verifiable consent.
  4. The work contains no CSAM, no unlawful matter, and nothing forbidden by the Wares Denylist.
  5. All metadata, descriptions, and previews you supply are truthful.

4. Indemnity

You agree to defend, indemnify, and hold harmless Strength & Solidarity LLC, its officers, agents, employees, contractors, and successors, from and against any and all claims, demands, losses, damages, costs, and expenses (including reasonable attorneys' fees) arising from or related to: (a) any breach of Section 3 above; (b) any third-party claim that your work infringes their rights; (c) any tax liability or regulatory action arising from your sale; (d) any false or misleading statement in your listing.

We may, at our option, assume the defense of any such claim, and you agree to cooperate reasonably in that defense.

5. License to BellusTowne

You grant BellusTowne a non-exclusive, worldwide, royalty-free license to host, display, cache, transmit, generate previews of, and process payment for your work for the limited purpose of operating the Marketplace. We do not claim ownership of your work; we do not resell it under our own brand; we do not relicense it to third parties beyond what a buyer's purchased license already permits.

6. Takedown & Strikes

We honor DMCA takedown notices per /dmca. We may take down any listing at any time, with or without notice, for any reason or no reason, including (without limitation) suspected infringement, suspected fraud, or violation of these Terms.

Strike ladder:

  • 1 strike: warning + listing takedown.
  • 2 strikes: 30-day marketplace freeze + payout review.
  • 3 strikes: permanent marketplace ban + Stripe Connect payout freeze + Forge access review.

CSAM is zero-tolerance. A single confirmed strike for CSAM results in immediate permanent ban and a report to the National Center for Missing & Exploited Children (NCMEC) CyberTipline.

7. Refunds & Chargebacks

Digital works are generally non-refundable. We may, at our sole discretion, refund a buyer where a listing was deceptive, where the file failed to deliver, or where required by law. Stripe chargebacks reverse the Creator's share of the sale; repeated chargebacks may trigger strikes.

8. Taxes

Stripe Connect issues Form 1099-NEC to US Creators meeting the statutory threshold ($600/calendar year), and collects Form W-8BEN data from Creators abroad. You are solely responsible for your own taxes, registrations, and filings.

9. No Employment

Nothing in these Terms creates an employment, partnership, joint-venture, agency, or franchise relationship. You list, sell, and bear risk as an independent maker.

10. Forbidden Wares

Digital works only. No physical goods. No firearms, controlled substances, financial instruments, gambling chances, malware, stolen credentials, or any item on the Wares Denylist. The Chief Constable and Founder may expand the Denylist at any time.

11. Changes

We may revise these Terms; the version in force at the moment of each listing is the version that binds that listing. Material changes will be announced through the Crier.

12. Governing Law & Venue

These Terms are governed by the laws of the State of Oklahoma, where Strength & Solidarity LLC is organized, without regard to conflict-of-laws principles. Any dispute shall proceed in the state or federal courts sitting in Oklahoma, except as required by non-waivable consumer-protection law of your residence.
